Flutter Entertainment plc is delighted to announce the initiation of trading of its ordinary shares on the New York Stock Exchange (NYSE) starting at 09:30 ET on January 29, 2024.
Concurrently, the secondary listing of Flutter's ordinary shares on Euronext Dublin was successfully canceled at 08:00 GMT today. Flutter retains its premium listing on the London Stock Exchange (LSE), with its ordinary shares continuing to trade on the Main Market of the LSE (ISIN: IE00BWT6H894).
Flutter's shares on the NYSE will be identified by the ticker symbol "FLUT" (CUSIP No.: G3643J 108), while on the LSE, they will retain the existing ticker symbol "FLTR."
Proposed Primary Listing Transition to NYSE
The Board of Flutter has proposed the transition of the primary listing of its shares to the NYSE, believing that this move will unlock strategic and capital market benefits. The reasons behind this proposal include enhancing the Group's profile in the US, facilitating recruitment and retention of US talent, accessing deeper capital markets, and gaining exposure to new US domestic investors. Additionally, the move is expected to provide greater overall liquidity in Flutter shares and offers the optionality to pursue a primary listing in the US to meet the criteria for access to important US indices.
Management has actively engaged with US investors, receiving overwhelmingly positive feedback supporting the primary listing transition. The Board considers the NYSE as the optimal location for Flutter's primary listing, and shareholders will vote on this proposal as a Special Resolution at the 2024 AGM scheduled for May 1, 2024. Subject to shareholder approval, the transition is expected to take effect in late Q2/early Q3.
Post-transition, the Board plans to retain Flutter's UK listing as a secondary listing, ensuring that a broad spectrum of investors can continue holding Flutter shares and partake in future value creation. Additional details will be communicated ahead of the AGM.
