The Directorate General for the Regulation of Gambling (DGOJ) has announced the successful conclusion of the corporate transaction involving the transfer of activities related to the development and commercialization of gaming activities in Spain. This significant agreement, executed between Bingosoft PLC and Rank Digital Ceuta, S.A., has been accredited in accordance with the terms established in the resolution issued on November 21, 2023.
The resolution authorized the transfer of general licenses for betting and other games, along with singular licenses for bingo, roulette, blackjack, slot machines, and sports betting, held by Bingosoft PLC, a company with tax identification number N0461684C. This authorization was granted within the framework of the contribution of the business unit to the corporate group to which Rank Digital Ceuta, S.A., belongs, under Spanish regulations.
After a rigorous process of verification and compliance with requirements, Bingosoft PLC submitted the required documentation on February 7 and 29, 2024, confirming the suitability of Rank Digital Ceuta, S.A., as a gaming operator according to the criteria established in current legislation. Additionally, notification was provided regarding the registration of the corporate transaction in the Commercial Registry of Ceuta on January 17, 2024, granting legal validity to the agreement.
Based on this documentation and after verifying compliance with the temporal requirements stipulated in the initial resolution, the Directorate General for the Regulation of Gambling has proceeded to consider the full effectiveness of the authorization for the transfer of licenses.
This significant milestone reaffirms the commitment of both entities to legality and transparency in the gaming sector in Spain. The resolution lays the groundwork for a smooth and secure operation, ensuring compliance with regulations and providing guarantees for both operators and users.
