The Stars Group has announced this past Friday that two major independent representation advisory firms, the Institutional Shareholder Services Inc. and Glass Lewis & Co., have recommended that shareholders vote in favor of the proposed total share combined with Flutter Entertainment plc to through a settlement plan at the next special meeting (the "Meeting") of shareholders of The Stars Group on April 24, 2020.
The Stars Group also announced that the Meeting will now be held in a virtual-only format, whereby shareholders will be able to attend and participate in the Meeting through a live audio webcast.
Registered shareholders and duly appointed proxies may attend, ask questions and vote online at the Meeting following the instructions of the management information circular dated March 26, 2020 (the "Circular") that has been sent these days. Unregistered shareholders who wish to attend and vote in person at the Meeting must follow the instructions provided by their broker or agent. Unregistered shareholders who have not been duly designated as proxy may attend the Meeting practically as guests, but the guests may not vote at the Meeting.
